Terms & Conditions

1. Introductory Provisions

These terms and conditions govern the rights and obligations of the contracting parties in the provision of services by Apertia.ai in the field of artificial intelligence, process automation, and related consulting services.

2. Definitions

• Provider: Apertia.ai, Reg. No.: 27117758
• Client: A natural or legal person using the Provider's services
• Services: AI solutions, automation, consulting, and related products
• Contract: Contractual relationship between the Provider and the Client

3. Subject of the Contract

The subject of the contract is the provision of services in the field of artificial intelligence, including:

• Development and implementation of custom AI agents
• Automation of business processes
• AI consulting services
• Training and education
• Technical support and maintenance

4. Order and Contract Conclusion

The contract is concluded upon confirmation of the order by the Provider. The order may be placed via a contact form, email, or in-person meeting.

5. Price and Payment Terms

Service prices are determined individually based on the scope of the project. Standard payment terms are 14 days from the invoice date, unless otherwise agreed.

6. Rights and Obligations of the Parties

The Provider undertakes to:

• Provide services in the agreed scope and quality
• Meet the agreed deadlines
• Protect the Client's confidential information
• Provide technical support

The Client undertakes to:

• Provide the necessary cooperation
• Pay the service fees within the specified deadlines
• Use the services in accordance with the terms

7. Liability

The Provider is liable for damages caused by a breach of its obligations up to the amount of the paid service fee. The Provider is not liable for damages caused by improper use of the services by the Client.

8. Data Protection

The processing of personal data is governed by the Privacy Policy and the GDPR regulation. The Provider undertakes to protect all Client data.

9. Use of Artificial Intelligence Technologies

1. When providing the Services, the Provider may use artificial intelligence, machine learning, language models and other automated technologies ("AI technologies") where their use is part of the functionality provided or is necessary or appropriate for providing the Services to the Client.
2. The Provider also uses AI technologies in software development, analyses, solution design and the preparation of materials for the Client. Points 3 to 11 of this article apply to the Client's data used in these activities.
3. To the extent necessary for providing the Services, AI technologies may process data, documents, texts, records, database information and other content entered, made available or created by the Client within the Services ("Client Data").
4. The Provider will not use Client Data to train the Provider's general artificial intelligence models or models intended for other clients, unless expressly and separately agreed with the Client in writing.
5. Client Data will not be used without a legal basis for any purpose other than providing, securing, operating, maintaining or developing the Services as requested by the Client.
6. To provide AI functionality, the Provider may use third-party services, in particular providers of cloud services, infrastructure, language models and other AI technologies. Where their use involves the processing of personal data, these providers will be engaged in accordance with the applicable laws and the Provider's contractual obligations.
7. The Provider will take reasonable technical and organisational measures to limit the Client Data passed to external AI technologies to what is necessary for providing the relevant function.
8. Where the nature of the Services allows it, the Provider may use anonymisation, pseudonymisation, filtering or other methods to reduce the amount of personal or confidential data passed to AI technologies.
9. Outputs created with AI may be generated automatically. Unless expressly agreed otherwise in the contract, the Provider does not guarantee their absolute factual accuracy, completeness or suitability for a specific legal, medical, financial or other professional decision. The Client shall ensure adequate human review wherever the nature of the use requires it.
10. Processing Client Data through AI technologies does not transfer the Client's ownership, licence or other rights to the Client Data to the Provider.
11. Details of personal data processing through AI technologies may be further set out in a data processing agreement, security documentation or an individual contract with the Client.

10. Contract Termination

Either party may withdraw from the contract in the event of a material breach of the terms by the other party. Withdrawal must be made in writing.

11. Final Provisions

These terms and conditions become effective on the date of their publication. The Provider reserves the right to amend them. Matters not regulated by these terms are governed by the laws of the Czech Republic.
